Palisade Modular Systems
Oswego Community Tranche
The same notes as the flagship offering, in $500 denominations, reserved for New York residents.
A host community tranche running concurrently with the Reg A+ offering under Rule 152, restricted to residents of New York State under Rule 147A. Same seniority and same collateral as the flagship notes, with a 25 basis point premium and a $500 minimum, because the people who live beside the plant should be able to own a piece of it on better terms than the institution that never visits.
Running concurrently over the same project
Rule 152 permits an issuer to run more than one offering at the same time. The same reactor backs both, on different rails, with different eligibility.

Principal risks of this offering
- Restricted to New York residents. Moving out of state does not accelerate or redeem the note.
- Resale is governed by New York state rules and is restricted for six months after purchase.
- Shares the construction and ITAAC risk of the flagship offering in full.
General risks of private securities
Private securities are speculative and illiquid. You should be prepared to hold this position for its full term and to lose the entire amount invested. Nuclear construction has a documented history of schedule and cost overrun. Platforms that sold equity in unbuilt energy projects have mostly failed; those that sold debt against operating assets with contracted offtake have mostly survived. That history is why the TRL tier of an offering matters more than its headline return.
A TRL score is not a prediction and not a rating. Read the offering documents in full before committing capital.
