Hearth Microreactor, Series A

Preferred equity in a five megawatt heat-pipe reactor with a witnessed prototype and no pumps to fail.

Heat pipes move heat by evaporation and condensation inside a sealed tube. No pumps, no coolant loop, no loss-of-flow accident to design against. Hearth has demonstrated a full-power thermal prototype under third-party witness at a national laboratory and is preparing a construction permit application for a five megawatt unit at Idaho Falls.

Principal risks of this offering

  • Pre-revenue. The company has never sold power and holds no construction permit.
  • TRISO fuel qualification is incomplete and depends on a HALEU supply chain that is itself under construction.
  • Preferred equity ranks below any future debt and above common only. A down round or liquidation could return nothing.
  • Reg CF securities are restricted from resale for twelve months and there is no market thereafter.

General risks of private securities

Private securities are speculative and illiquid. You should be prepared to hold this position for its full term and to lose the entire amount invested. Nuclear construction has a documented history of schedule and cost overrun. Platforms that sold equity in unbuilt energy projects have mostly failed; those that sold debt against operating assets with contracted offtake have mostly survived. That history is why the TRL tier of an offering matters more than its headline return.
