The rail you chose puts a ceiling on this, and the reviewer will check it.

Lower brings more investors and more of them to communicate with. On a Reg CF round the per-investor cap already limits the top end.

A unit has to cost no more than the minimum investment, or nobody can buy one.

Escrow holds every commitment until close. A long window is not free: investors' money is tied up and yours is not released.

Stated plainly and in the same order as the milestone ladder, so an investor can see which tranche pays for what.
